Facts
The trial court ordered International Business Machines Corp. (IBM) to provide documents to the United States government in response to the government’s discovery request. IBM had previously provided the same documents to a third party, Control Data Corporation, in a separate lawsuit, but consistently argued that the documents were protected by attorney-client privilege. The trial court ruled that IBM had waived this argument by previously providing the documents to Control Data Corporation. The trial court ordered IBM to produce the documents, held IBM in contempt, and imposed a fine of $150,000 per day against IBM until IBM complied with its order. IBM appealed from the contempt order.
