In a vast majority of M&A transactions, the real estate component of the transaction may not sink a deal. However, it is an important component of the whole transaction. This course will focus on how to effectively review a lease in connection with a M&A transaction so that (i) the transaction is not held up or delayed by an aggressive landlord, and (ii) the acquiring company is not left with fewer rights and more obligations than what the acquiring company contemplated. For over one hundred years, traditional vertical wells have been producing oil and gas across the country. However, as technology has advanced, horizontal wells have become a more profitable way to produce oil and gas from the maximum acreage allowed. What happens when an operator wants to drill a modern, horizontal well, thousands of feet long, under lands covered by old leases, without a pooling provision, without a separate pooling agreement, or when the lease expressly prohibits pooling under certain conditions? In this introduction to allocation wells, we breakdown the different types of horizontal wells, and the current guidance regarding to process of drilling an allocation well, and the related underlying production sharing agreements.

Mr. Blitz will focus on civil cases brought by a plaintiff's attorney to trial. This course is intended as an introduction to trying a civil case to verdict and a refresher course for seasoned attorneys. The course will begin with jury selection and proceed through opening statements, direct and cross exam of the plaintiff, defendant and defendant’s experts and continue through summation. Notwithstanding its illegality under federal law, cannabis is now legal for medical and/or adult recreational use in a majority of states. The tension between state and federal law (and the newness of a quasi-legal cannabis industry), however, complicates the legal representation of cannabis industry clients and raises potential ethical pitfalls. The representation of cannabis clients in Intellectual Property (IP) matters is no exception and implicates unique strategic concerns.

attorney, mediator, and published author, you will learn about the critical
phases of an argument, how to utilize the techniques of story-telling, and how
to take a devil’s advocate’s approach to your writing, particularly your
conclusions.

Families are unique social constructs with unique challenges. Accordingly, estate planning attorneys must anticipate and draft for these challenges if they do not want clients (and the estate plans) to be subject to probate or estate administration court battles. This program covers applicable laws, rules, and regulations for drafting trusts that address three of the most common, yet challenging, family dynamics: hostile family members, spendthrift beneficiaries, and family factions. We will also review hypotheticals to provide hands-on examples of provisions that can be helpful in keeping the peace or at least keeping clients from nasty court battles.
