No-Knowledge Proviso

Definition

Provision of 15 U.S.C. § 78ff(a) that provides criminal penalties for willful violations of the Securities Exchange Act of 1934 but permits a defendant to avoid imprisonment if he can establish that he had no knowledge of the rule or regulation violated.
