Facts
Argonaut Private Equity, LLC (Argonaut) (defendant) and Medical Outsourcing Services, Inc. (MOS) (defendant) entered into a contract for the sale of a business to Alliance Healthcare Services, Inc. (Alliance) (plaintiff). The contract contained an arbitration clause. After a dispute arose, Alliance demanded arbitration in Chicago. At the request of Argonaut and MOS, the arbitrators issued subpoenas to nonparties Grant Thornton, LP (GT), a Chicago-based accounting firm hired by Alliance in connection with the sale, and Marc Chiang, an employee of GT from San Francisco. The subpoenas directed GT and Chiang to testify and produce records at a preliminary hearing in San Francisco to be held before one of the members of the arbitration panel. The subpoenas were served in San Francisco. GT and Chiang refused to comply. Argonaut and MOS motioned the federal district court in Illinois to enforce the subpoenas. GT and Chiang opposed the motion.
