Facts
American Mint LLC (buyer) (plaintiff), the Pennsylvania-based subsidiary of a German company, sued Georgia-based Gosoftware, Inc. (seller) (defendant) in federal district court, alleging breach of contract and damages of $981,758. The seller invoked a contract provision that capped the seller’s liability at $10,995. The buyer argued that Article 74 of the Convention on Contracts for the International Sale of Goods (CISG) entitled the buyer to recoup the full amount of its losses. The seller moved to dismiss the case.
