American Safety Equipment Corporation (American) (plaintiff) filed two declaratory-judgment actions in federal district court against J. P. Maguire & Co., Inc. (Maguire) and Hickok Manufacturing Company, Inc. (Hickok) (defendants), which included several antitrust allegations. Hickok and Maguire moved to compel arbitration, citing an arbitration provision in a licensing agreement signed by the parties. The district court granted a stay of proceedings and compelled arbitration of the antitrust claims. American appealed to the Second Circuit for review.
