Facts
Tecnol Medical Products, Inc. (Tecnol) (defendant) targeted its rival, Anago, Inc. (plaintiff), for acquisition. Anago immediately sued Tecnol in federal district court, seeking a preliminary injunction under § 16 of the Clayton Act to block the takeover. Anago offered evidence that a merger would destroy its independent decision-making ability, dramatically decrease competition, and significantly raise prices in the affected market. The court denied relief on the grounds that Anago failed to show that any injury it would suffer as a result of the takeover (1) was of the type that the antitrust laws were intended to prevent and (2) would flow directly from Tecnol’s allegedly illegal actions. Anago appealed to the Fifth Circuit.
