Facts
Pioneer Granite Company (Pioneer) and two other corporations were consolidated into a new corporation, North Star Granite Corporation (North Star) (defendant). Pioneer conveyed its real estate to North Star by a deed. The president was not present at the execution. Instead, Pioneer Vice President Anderson (plaintiff) signed the deed in the blank designated for the president. The plaintiffs allege that because of this, the deed is void.
