Facts
The Canadian company Archangel Diamond Corporation (ADC) (plaintiff) signed a joint-venture contract with Russia’s state-owned Arkhangelskoye Geologodobychnoye Predpriyatiye, also known as Arkhangelskgeoldobycha (GPA) (defendant). Among its provisions, the contract included an agreement to transfer the joint venture’s license to a private third party if Russia ever privatized GPA and an agreement to submit contract disputes to Swedish arbitrators. Russia subsequently privatized GPA. ADC took steps to transfer the joint venture’s license, but GPA blocked the transfer. ADC submitted a complaint to an arbitration panel in Stockholm, Sweden. The panel noted the likelihood that Russian law required subsurface disputes to be resolved by Russian tribunals.
