Facts
CAT Internet Services (CAT) (plaintiff) was a Pennsylvania corporation with a principal place of business in Pennsylvania. CAT owned the domain name www.magazine.com. Magazines.com, Inc. (defendant) owned the domain name www.magazines.com. Magazines.com was a Delaware corporation with its principal place of business in Tennessee. Magazines.com sued CAT in Tennessee state court. CAT sued Magazines.com in Pennsylvania state court for tortious interference with prospective contractual relations, alleging that Magazines.com’s conduct caused pecuniary harm to CAT’s business. Magazines.com filed a motion to dismiss CAT’s lawsuit for failure to state a claim upon which relief could be granted. Under Tennessee law, tortious interference with prospective contractual relations was not a cognizable claim like it was in Pennsylvania.
