Facts
Centerville Builders, Inc. (Centerville) (plaintiff) presented a written offer to purchase property to Wynne (defendant). The offer was conditioned on Wynne not negotiating to sell the property to any other parties. The offer also stated that it was conditioned on reaching a satisfactory purchase agreement between Centerville and Wynne in the future. Wynne deleted the condition regarding negotiating with other parties and signed the offer. Wynne sent Centerville an unsigned agreement, which Centerville signed and returned. Wynne then told Centerville he was not going to sell. Centerville brought an action against Wynne for specific performance. The superior court granted Wynne’s motion for judgment on the pleadings, and Centerville appealed.
