Facts
China Minmetals Materials Import and Export Company, Ltd. (Minmetals) (plaintiff), a Chinese corporation, initiated an arbitration proceeding against Chi Mei Corporation (Chi Mei) (defendant), a New Jersey business, before a Chinese arbitration commission. Minmetals produced two sales contracts for the arbitration proceedings, each containing binding arbitration clauses and allegedly signed by both Minmetals and Chi Mei. Chi Mei argued that the contracts were fraudulent, containing a signature from a nonexistent Chi Mei employee and a forged corporate stamp. However, the arbitrators found that Chi Mei failed to sufficiently prove fraud and issued an award for Minmetals. Minmetals filed in federal district court to confirm and enforce the judgment, and Chi Mei again presented its evidence of fraud. The district court rejected the evidence and confirmed the award, and Chi Mei appealed to the Third Circuit.
