Facts
Glenn and Jean Rudell (defendants) entered a contract to purchase an accounting franchise from Comprehensive Accounting Corporation (CAC) (plaintiff). The agreement included an arbitration provision. A dispute arose, and CAC terminated the Rudells’ franchise and initiated arbitration. The Rudells did not participate in the arbitration, and an award was entered in CAC’s favor. CAC filed a motion in district court to confirm the award and to compel the Rudells to satisfy the award. The district court confirmed the award over the Rudells’ opposition. The Rudells appealed, arguing that they did not know about the agreement’s arbitration clause. Although the Rudells signed the agreement, CAC conceded that they were not provided with a fully executed copy.
