Facts
Kirk Dahl (plaintiff) and other former shareholders of so-called megacapitalized corporations that had been acquired through leveraged buyouts (plaintiffs) sued Bain Capital Partners, LLC (defendant) and other large, private-equity firms (defendants) that had financed those buyouts. The shareholders alleged that these firms, in order to reduce the chances of expensive bidding wars, conspired to pool their substantial financial resources and squeeze out less well-financed firms that otherwise might have competed for control of the small handful of available megacap acquisition targets. The private-equity firms asked the federal district court to dismiss the shareholders’ case.
