Facts
LeRoy Dalton (plaintiff) obtained a judgment against Howard Meister (defendant) for defamation. A year later, Dalton obtained an order enjoining Meister from transferring UTI stock Meister owned. Although UTI was not a party to the action, the order also enjoined UTI from transferring the stock. The injunction decree was served on UTI. Later, UTI transferred the stock to the American City Bank and Trust Company pursuant to a foreclosure agreement between Meister, American City, the Continental Bank, and UTI. Dalton asked the trial court to find UTI in contempt. The trial court did so, finding it had the inherent power to enjoin UTI from transferring the stock. UTI appealed to the Wisconsin Supreme Court.
