Facts
Gerald Doughty (plaintiff) contracted with Idaho Frozen Foods Corporation (IFF) (defendant) to sell IFF most of his anticipated potato crop. IFF agreed to pay top dollar for Doughty’s larger potatoes, with a reduced price for smaller potatoes. The contract gave IFF an option to reject shipments containing too few large potatoes. Bad weather produced a disappointing harvest, and Doughty knew that he could not meet IFF’s demand for large potatoes. Doughty sued to obtain a declaratory judgment that his contract with IFF was unenforceable due to lack of mutuality of obligation. The trial court ruled in IFF’s favor. Doughty appealed to the Idaho Court of Appeals.
