Facts

East River Energy (East River) (plaintiff) sold petroleum products to heat commercial and residential buildings. Gaylord Hospital, Inc. (Gaylord) (defendant) provided long-term care services. In July 2008, Gaylord reached out to East River to discuss the possibility of buying heating oil. Gaylord told East River that it was looking for about 160,000 gallons of fuel at a specified, fixed price per gallon, and that it needed a budget plan for paying for the oil over a fixed contract period. Gaylord also promised East River to purchase the fuel once East River could meet these requirements. East River told Gaylord it would obtain fuel pursuant to Gaylord’s request. East River then obtained the fuel for Gaylord to purchase, and East River called Gaylord to inform it of the news. Gaylord accepted these terms and told East River it would sign a written contract to that effect. East River then purchased the fuel in question from its supplier. However, East River subsequently received a voicemail from Gaylord telling East River that Gaylord would not adhere to the agreement, and Gaylord refused to sign the agreement. East River sued Gaylord, alleging breach of contract and a breach of the covenant of good faith and fair dealing under the Uniform Commercial Code (UCC), as well as claims of negligent misrepresentation and fraudulent-or-intentional misrepresentation. Gaylord moved for summary judgment, arguing that the UCC’s statute of frauds barred all claims.
