Facts
Evergreen Trading, LLC (plaintiff) challenged tax penalties assessed against them for underpayments resulting from mischaracterized transactions. Evergreen resisted disclosing correspondence written to and from its accountant that accompanied documents about the transactions, claiming they were privileged.
