Facts
ExpertConnect, L.L.C. (plaintiff), a consulting firm, sued Mayokia Fowler, Dipali Parmar, and Strafluence, L.L.C. (defendants) in federal court on several counts that included trade-secret misappropriation in violation of the federal Defend Trade Secrets Act of 2016 (DTSA). With respect to the DTSA count, ExpertConnect alleged that (1) it expended great cost and effort to compile lists of its expert consultants, sale and marketing methods, and customers’ preferences; (2) ExpertConnect treated those lists as trade secrets; (3) the lists gave ExpertConnect competitive advantages that it would lose to its rivals were the lists improperly disclosed; (4) the measures ExpertConnect took to guard the secrecy of the lists included storing the lists on secure, password-protected servers and making employees such as Fowler and Parmar sign nondisclosure agreements; and (5) Fowler and Parmar stole the lists when they left ExpertConnect to set up Strafluence in competition with ExpertConnect, using the lists to benefit Strafluence. Fowler, Parmar, and Strafluence moved to dismiss the suit.
