Facts
Farris Engineering Corp. (Farris) (plaintiff) sued Service Bureau Corp. (defendant) for breach of a contract for data-processing services. The contract, which was made in New York, limited Service Bureau’s liability to the amount paid by the customer for the data-processing services. The contract also stated that the agreement was governed by the laws of New York. Farris, which filed the lawsuit in New Jersey, argued that New Jersey law should apply to the contract, but the lower court disagreed and granted summary judgment in favor of Service Bureau, applying New York law and limiting Service Bureau’s liability. Farris appealed the judgment.
