Facts
Anthony Fredianelli (plaintiff) was the lead guitarist for the band Third Eye Blind from 1993 to 1994 and from 2000 to 2009. Fredianelli rejoined the band in 2000 as a hired musician receiving a weekly salary. After about two years, Fredianelli started receiving 25 percent of net touring revenue instead of his weekly salary. During his time with the band, Fredianelli had little control over management of the band and had miniscule say in decision-making. Stephan Jenkins, the lead singer, dominated all business decisions of the band. Jenkins rarely consulted with other members and generally forced the other members to accept his decisions. Jenkins even made unilateral decisions about band members’ compensation. Eventually, Fredianelli and Jenkins’s relationship deteriorated to the point that Fredianelli was frozen out of the band without a formal termination. Fredianelli sued Jenkins for breach of contract. Jenkins filed a motion for summary judgment in the United States District Court for the Northern District of California.
