Facts
Dr. Frix (plaintiff) was a physician who provided mobile mammography services. Dr. Frix provided those services inside a mobile trailer, which housed a computed tomography (CT) scanner. Integrity Medical Systems, Inc. (Integrity) (defendant) was accepted as the lowest bidder to upgrade the CT scanner in Dr. Frix’s trailer. Before the bid was accepted, the parties had informal discussions related to the terms of the contract. Frix sued Integrity for breach of contract in United States district court. Integrity defended, arguing that Dr. Frix should be considered a merchant under the Uniform Commercial Code (UCC) and should be charged with knowledge of certain terms of the agreement, although Integrity offered no evidence that Dr. Frix ever saw or agreed to the terms.
