Facts
Robert Bush and Dennis Dickerson (defendants) were officers for Graphic Directions, Inc. (GDI) (plaintiff), a graphic design company. Bush and Dickerson planned to leave GDI to start their own graphic design company. Prior to their departure, Bush and Dickerson solicited GDI’s customers, seeking to retain the customers for their new, competing business. Subsequently, Bush and Dickerson left GDI and started their own graphic design company. GDI brought suit for breach of the fiduciary duty of loyalty. GDI’s accountant testified that GDI lost almost $200,000 in net profits in the 18 months after Bush and Dickerson left. The trial court found in favor of GDI and awarded damages. Bush and Dickerson appealed.
