Facts
D. C. Craig (defendant) signed a contract, as president of Craig Industries, Inc. (defendant), to convey one of Craig Industries’ charcoal plants to Husky Industries, Inc. (plaintiff). Craig did not represent that Craig Industries’ board of directors had authorized Craig to sell the plant, nor did Husky Industries inquire about authorization. A few days later, Craig Industries’ lawyers returned Husky Industries’ down payment with a note explaining that Craig Industries’ directors had voted to repudiate the sale. Husky Industries sued Craig Industries and Craig for breach of contract. The trial court acquitted Craig Industries but held Craig personally liable for Husky Industries’ damages. Craig appealed to the Missouri Court of Appeals.
