Facts
Richard Maru was the secretary-treasurer of Ideal Foods, Inc. (Ideal) (plaintiff). Maru also served as Ideal’s general manager for a period. Thereafter, Maru left Ideal to work solely for Ideal’s subsidiary. Six months later, Maru entered into certain lease agreements, purportedly on Ideal’s behalf, with Action Leasing Corporation (ALCO) (defendant). At that time, ALCO’s representative knew that Maru no longer managed Ideal. ALCO sued Ideal regarding the lease agreements. Ideal argued that Maru lacked the authority to enter into the lease agreements on Ideal’s behalf. The trial court ruled in ALCO’s favor. Ideal appealed.
