Facts
Bieter Company (Bieter) was formed to develop a parcel of land. Bieter hired Dennis Klohs as an independent contractor to further this purpose, including by securing tenants to be part of the development. Klohs was intimately involved with Bieter’s plans on a daily basis. The development did not work out as planned, and litigation ensued. Klohs was also intimately involved with the litigation, working closely with Bieter and its attorney. In response to opposing counsel’s request for certain documents, Bieter asserted that the attorney-client privilege applied to Bieter’s attorney’s communications with Klohs.
