Facts
Footstar, Inc. (debtor) was a manufacturer and distributor of shoes. Footstar contracted with Kmart to supply and operate the footwear departments within Kmart stores. Footstar filed for reorganization under chapter 11 of the bankruptcy code and sought to assume the agreements with Kmart. Kmart objected to the assumptions based on § 365(c)(1) of the bankruptcy code.
