Facts
The Sidney Gelb Chapter for Cancer Research (the chapter) (plaintiff) filed an application for corporate status in New York state court. The application stated that the proposed corporation’s purpose was, essentially, to raise funds for cancer research. However, the application did not provide much detail about why existing organizations that served a similar purpose were insufficient, nor did it otherwise provide an explanation about why a new organization was needed to serve this purpose. Pursuant to existing procedures, the court considered the application without a hearing or argument.
