Facts
Iris Construction Corporation (Iris) (plaintiff) contracted to build a department store for Grayson-Robinson Stores, Inc. (Grayson) (defendant). When Iris could not secure the necessary financing, it tried to back out of the contract. In response, Grayson invoked the contract’s arbitration clause. As the clause explicitly empowered the arbitrator to do, the arbitrator ordered Iris to specifically perform its contractual obligations. Iris objected and took the matter to the courts. The trial court affirmed the arbitration award, as did an intermediate appellate court.
