Facts
A collective-bargaining agreement provided that the National Lock Corporation would discuss any relocation of its plant with the United Automobile Workers union (the union) (plaintiff). Labor law provided that a company had to negotiate a plant relocation with the union if the relocation was motivated by concern over labor costs. However, this statutory right was capable of being waived. The National Labor Relations Board (NLRB) (defendant) held that the agreement to discuss relocation was a waiver of the union’s statutory right to negotiate over the issue. The union appealed.
