Nxegen Holdings, Inc. (Nxegen) (defendant) was a Delaware corporation with its principal place of business in Connecticut. Besides being incorporated in Delaware, Nxegen did not do business in Delaware. John Carbone (plaintiff), a Connecticut resident, was a Nxegen shareholder. Carbone filed an action against Nxegen in Connecticut Superior Court seeking to inspect Nxegen’s corporate records and the records of one of Nxegen’s subsidiaries. Nxegen asserted that, under the internal affairs doctrine, the law of the state of its incorporation—Delaware—controlled. The statutory provisions regarding shareholder inspections of corporate records were not significantly different between Delaware and Connecticut.
