Facts
Juice Entertainment, LLC (plaintiff) was formed in 2009 and successfully produced concerts and other events for small numbers of attendees over the next two years. In 2011, Juice Entertainment made an agreement with State Fair Event Management (SFEM) to produce a large electronic dance music event (the state-fair event) at the New Jersey State Fair. The agreement included a deadline for Juice Entertainment to book the performers. Juice Entertainment was in negotiations with a number of performers, but the negotiations fell through, causing Juice Entertainment to miss the booking deadline. SFEM cancelled the agreement, and Juice Entertainment sued several defendants, including Live Nation Entertainment, Inc. (Live Nation) (defendant). Live Nation moved for summary judgment on Juice Entertainment’s lost-profits claim. The district court considered the motion.
