Facts
Kinney System, Inc. (Kinney) (plaintiff), a Delaware corporation, entered into a workers’-compensation insurance policy contract with Continental Insurance Company (Continental) (defendant), a New Hampshire corporation, to insure Kinney’s employees in various states, including Florida. The contract was executed in New York. Kinney and Continental both had regional offices in Florida, but neither was headquartered in Florida. Continental sued Kinney in Florida. The trial court dismissed Continental’s action for forum non conveniens, meaning inconvenient forum. Continental appealed. On appeal, the appellate court reversed, holding that actions involving corporations with Florida offices could not be dismissed for forum non conveniens. Kinney appealed to the Florida Supreme Court.
