Facts
Larese (plaintiff) signed a 10-year franchise agreement with Creamland Dairies (Creamland) (defendant). The agreement required Creamland’s consent prior to Larese transferring the franchise to another franchisee. Larese attempted to sell its franchise, but Creamland refused to grant its consent. Larese sued Creamland, claiming unlawful interference with Larese’s contractual relations with potential buyers. The district court granted Creamland summary judgment. Larese appealed.
