Facts
National Steel Castings (National Steel) (defendant) offered to sell Lima Locomotive & Machine (Lima) (plaintiff) all of Lima’s steel-castings requirements for the remaining months in 1902. Under the offer, Lima was to inform National Steel each month of its steel-castings requirement for that month. Lima accepted the offer, but National Steel declined to go through with any deliveries. Lima brought suit for breach of contract. National Steel argued that its offer lacked any enforceable promise. The trial court agreed, ruling in National Steel’s favor. Lima appealed.
