Facts
Medinol, Ltd. (plaintiff) sued Boston Scientific Corporation (BSC) (defendant). Separately, BSC hired independent auditor Ernst & Young (E&Y) to review its financial filings. In connection with this audit, BSC disclosed minutes of internal meetings at which BSC’s special-litigation committee discussed an internal investigation by BSC’s attorneys. During discovery in the Medinol case, Medinol sought disclosure of the meeting minutes. BSC claimed that the minutes were protected from disclosure by the work-product doctrine. Medinol claimed that BSC waived the work-product privilege by its disclosure to E&Y.
