Facts
Oakley Fertilizer, Inc. (Oakley) made an offer to a buyer. The offer contained a risk-of-loss provision. The buyer accepted the offer, but the acceptance contained a different risk-of-loss provision. Oakley and Continental Insurance Co. disagreed as to which risk-of-loss provision became a part of the contract.
