Facts
The Kansas City School Board contracted to buy office supplies from Office Supply Store.com (Office Supply). After the contract was formed, Office Supply invoiced the school board for its purchases. The invoice contained a forum-selection clause, purporting to require that California courts would resolve any dispute arising from the agreement. The school board argued that this additional term did not become part of the parties’ contract.
