Facts
Section 203-7 of the Pennsylvania Feature Motion Picture Fair Business Practices Law (the Pennsylvania Act) prohibited any motion-picture distributor from entering into an exclusive first-run arrangement with an exhibitor for more than 42 days without provision to expand its distribution after 40 days to another exhibitor in the same geographical area. Orson, Inc. (plaintiff), the owner of a theater in Philadelphia, brought suit against Miramax Film Corp. (defendant), a motion-picture producer and distributor, alleging that Miramax had violated the Pennsylvania Act.
