Facts
Dewey Monroe’s will left his entire estate to his daughter, Janet (plaintiff). In 2003, Dewey and Lou Ann Monroe (defendant) formed a limited-liability company (LLC). Lou Ann was the manager and owned 20 percent. Dewey owned 80 percent. In 2004, Dewey died. Upon Dewey’s death, Janet removed Lou Ann as the LLC’s manager and elected herself as the manager.
