Facts
Robert Packard (plaintiff) was an orthodontist who entered into an agreement with OCA (defendant) for practice-management services. OCA paid Packard several million dollars in exchange for entry into the agreement. Five years into the agreement, Packard terminated the agreement and sued for a declaratory judgment that the agreement was illegal and therefore void. OCA counterclaimed for unjust enrichment, seeking several million dollars in net benefits retained by Packard. OCA and Packard disputed the amount paid by Packard to OCA during the course of the agreement. OCA did not dispute that the agreement was illegal. The trial court ruled that OCA could not pursue its equitable counterclaims. OCA appealed.
