Facts
Land O’Lakes Farmland Feed, LLC (LOLFF) (defendant) agreed to purchase piglets from Pieper, Inc. (Pieper) (plaintiff). LOLFF intended to sell the piglets to third-party finishers, who would raise the pigs and sell the market hogs to Farmland Industries, Inc. (Farmland). The contract between LOLFF and Pieper stated that LOLFF would purchase pigs from Pieper only, while LOLFF’s customers had the ability to market the pigs to Farmland. Farmland later refused to continue buying the grown pigs, and LOLFF terminated its agreement with Pieper. Pieper sued LOLFF for breach of contract. LOLFF raised the affirmative defense of frustration of purpose. The district court granted summary judgment to LOLFF, and Pieper appealed.
