Facts
PKWare, Inc. (plaintiff) was a Milwaukee-based software company. Timothy Meade (defendant), an Ohio resident, contracted with PKWare to convert certain PKWare software; Meade would then send copies to PKWare and also retained the right to sell the software in exchange for royalty payments. The parties negotiated via phone and email, and Meade made one trip to Milwaukee. At contracting, Meade was a sole proprietor. He subsequently incorporated his business in Ohio under the name Ascent Solutions, Inc. (ASI) (defendant). ASI maintained a website and sold software worldwide, including to customers in Wisconsin. When the relationship between PKWare and Meade soured, PKWare sued Meade and ASI in the United States District Court for the Eastern District of Wisconsin. PKWare asserted various state-law claims as well as federal trademark-, copyright-, and patent-infringement claims. Meade and ASI moved to dismiss for improper venue, among other things.
