Facts
Alabama-licensed insurance agents (the insurance agents) (plaintiffs) had contracts with Professional Insurance Corporation (PIC) (defendant), an insurer headquartered in Florida, to sell payroll-deduction insurance plans to agencies and businesses in Alabama. The contracts contained an outbound forum-selection clause that designated Duval County, Florida as the place for filing suit in the event that a contractual dispute arose. The insurance agents filed suit against PIC in Alabama, accusing PIC of scheming the insurance agents out of commissions. PIC motioned to dismiss, relying on the Florida forum-selection clause. The trial court denied PIC’s motion, concluding that the Florida forum-selection was an unenforceable outbound forum-selection clause. PIC appealed.
