Facts
Ms. Casey (defendant) was the office manager for Quality Cardiovascular Care, LLC (Quality) (plaintiff). Quality brought suit against Casey, alleging that Casey owed a duty of loyalty to Quality and had breached the duty by using Quality’s confidential trade secrets to compete with Quality. Casey argued in her defenses that she owed no duty of loyalty to Quality because (1) the duty of loyalty arises from a contract between parties and (2) she had entered into her employment contract based on misrepresentations made by Quality.
