Facts
Sacramento E.D.M (EDM) (plaintiff) and Hynes Aviation Industries (Hynes) (defendant) entered a joint venture for EDM to get favorable terms on any equipment EDM leased. Every equipment lease that Hynes procured on EDM’s behalf added 30 percent interest to EDM’s monthly payments, lasted nearly twice as long as Hynes represented, and resulted in EDM paying almost double the price of each piece of equipment. EDM sued Hynes, alleging breach of fiduciary duty and fraud regarding misrepresentations made regarding equipment-lease terms.
