Facts
The Securities Industry & Financial Markets Association (the association) (plaintiffs) argued that the Cross-Border Guidance (the guidance) (also known as the Cross-Border Action), which was issued by the Commodity Futures Trading Commission (CFTC) (defendant), essentially operated as binding law. However, the CFTC argued that the guidance was merely a policy statement and did not operate as a binding rule on its face or in practice.
