Facts
Ted Spiegel (plaintiff) was a shareholder in a corporation. Spiegel made a demand on the corporation’s board of directors, seeking to redress an issue related to the management of the company. The board refused to act on Spiegel’s demand. In response to this, Spiegel attempted to take back control of the issue by arguing before the Delaware Court of Chancery that demand on the board of directors would have been futile and thus was excused. The court found that demand was not excused. Spiegel appealed.
