Facts
Richard Sternberg (plaintiff) filed a shareholder derivative suit in Delaware state court against GenCorp Inc. (GenCorp). GenCorp was an Ohio corporation registered to conduct business in Delaware. GenCorp had also appointed an agent to receive service of process in Delaware. Although GenCorp was registered to conduct business in Delaware and appointed a process agent in Delaware, the trial court held that GenCorp lacked minimum contacts with Delaware and was not subject to jurisdiction in Delaware. The trial court dismissed Sternberg’s complaint. Sternberg appealed.
