Facts

In an agreement between the state of Mississippi (defendant) and a private lottery company, the company was to pay a series of sums to the state treasury in exchange for the right to operate for 25 years. However, four years after the lottery was created, Mississippi adopted a statewide prohibition of lotteries. Lower courts upheld the law, and the United States Supreme Court granted certiorari.
